Formation. Marshall Islands corporations are governed by the Business Corporations Act, 1990 and regulated by the Registrar of Corporations. Only licensed Agents may organize IBCs in Marshal Islands, by subscribing to Articles of Association as incorporators. A Marshall Islands corporation is not permitted to engage in insurance or banking business. A company incorporated in the Republic of the Marshall Islands has the same powers as a natural person. OLYMPUS SERVICES offers ready-made companies in Marshal Islands and provides the service to act as the nominee shareholder.

 

Board of Directors. The minimum number of directors is one. The directors may be natural persons or corporate bodies. They can be of any nationality and need not be Marshall Islands residents. A Marshall Islands Corporation must appoint a company secretary who may be a natural person or a corporate body. The company secretary can be of any nationality and need not be resident in the Marshall Islands. The minimum number of shareholders is one.

 

Registered Office and Agent. A registered office must be maintained in the Marshall Islands at the address of the licensed Trust and Management Company.

 

Disclosure. Corporations are not required to disclose the names of shareholders, directors or officers to the Registrar, Registered Agent, or any other governmental authority in the jurisdiction.

 

Bearer Shares. Bearer shares are allowed in this jurisdiction.

 

Annual Franchise Tax. Annual Tax paid to the government is US$450.00

 

Books, Records and Common Seal. Corporate seal is optional. Seals must be used if the company enters into a contract which, if entered between natural persons, would be required by law to be in writing and under seal. Audited financial statements are not required to be filed with the Registry.

 

Powers of Attorney. An IBC may grant general or special Powers-of-Attorney to any person, to act on its behalf and to execute contracts, agreements, deeds and other instruments. These powers are not recorded in the Public Registry.
